These Terms constitute an agreement between you and Truepro USA LLC, a Texas limited liability company that owns and operates Mnemo Connect.
1. Acceptance of Terms
By clicking "Create Account," "Sign Up," "Get Started," "Start Free Trial," purchasing a subscription, or otherwise completing the Mnemo Connect registration process, you agree to be legally bound by these Terms & Conditions and acknowledge the Mnemo Connect Privacy Policy and other policies expressly incorporated into these Terms.
If you do not agree to the applicable Terms, you should not create or use a Mnemo Connect account.
Electronic acceptance has the same effect as acceptance through other legally recognized methods, subject to applicable law.
Mnemo Connect may maintain records relating to acceptance, including the date and time of acceptance and applicable policy versions.
2. Services
Mnemo Connect provides an AI-powered contact-management and Contact Intelligence Platform.
Features may include contact organization, contextual memory, communications, search, relationship mapping, network intelligence, mutual connections, reminders, AI insights, integrations, expertise discovery, recommendations, and opportunity discovery.
3. Accounts and Security
Users are responsible for safeguarding credentials, authentication methods, connected accounts, and authorized devices.
Suspected unauthorized access should be reported promptly.
4. Authorized Information
Users may provide or authorize Mnemo Connect to process information only where they have the legal authority or other lawful basis required to do so.
5. Artificial Intelligence
Mnemo Connect uses AI and machine-learning technologies.
AI-generated information may occasionally be inaccurate, incomplete, outdated, or incorrectly inferred.
Users remain responsible for appropriately reviewing consequential information before relying upon it.
6. AI Training and Business Use
Subject to applicable law, contractual commitments, permissions, disclosures, settings, and consent requirements, information processed through Mnemo Connect may be used to operate, train, test, evaluate, fine-tune, develop, secure, maintain, and improve applicable Mnemo Connect AI systems, algorithms, features, products, and services.
Information may also support analytics, research, security, quality assurance, customer-experience improvement, product development, marketing analysis, market analysis, and other disclosed legitimate business purposes as described in the Privacy Policy.
7. Marketing Communications
Acceptance of these Terms does not override separate consent requirements imposed by applicable marketing or privacy law.
Where permitted, Mnemo Connect may send users promotional communications concerning products, features, news, offers, events, partnerships, or promotions.
Where affirmative marketing consent is required, it will be requested separately.
Applicable promotional emails will provide an unsubscribe mechanism.
8. Network Promotions and Referrals
Mnemo Connect may identify potentially relevant offers, professionals, businesses, services, products, events, introductions, or opportunities based on authorized network intelligence.
Users may be provided functionality enabling them to voluntarily share or refer such opportunities to people within their networks.
Access to a user's contact database alone does not automatically authorize Truepro USA LLC to directly market to those contacts.
9. Acceptable Use
Users may not use Mnemo Connect to unlawfully stalk, harass, surveil, discriminate against, impersonate, defraud, exploit, spam, obtain unauthorized information about, or violate the rights of another person.
10. Subscriptions and Usage
Mnemo Connect may offer free, paid, enterprise, usage-based, credit-based, or hybrid plans.
Features may be subject to contact, storage, communication, API, AI, processing, or fair-use limitations.
11. Renewal, Cancellation and Refunds
Applicable billing frequency, renewal, cancellation, and refund conditions will be presented with paid plans and administered according to applicable law.
12. User Content
Users retain applicable ownership rights in their content.
Users grant Truepro USA LLC the rights reasonably necessary to process authorized information for the purposes described in these Terms and the Privacy Policy.
13. Intellectual Property
Mnemo Connect software, algorithms, models, interfaces, designs, documentation, workflows, databases, branding, proprietary methodologies, and associated intellectual property belong to Truepro USA LLC or applicable licensors.
14. Third-Party Services
Mnemo Connect may rely upon third-party AI providers, cloud providers, email platforms, communication providers, APIs, payment processors, analytics providers, and other external services.
Truepro USA LLC does not control independent third-party systems, policies, availability, security practices, or technical changes.
15. Security Risks and No Guarantee
Truepro USA LLC uses reasonable measures designed to protect information.
Nevertheless, users acknowledge that electronic storage, cloud computing, Internet communications, APIs, AI processing, third-party integrations, and digital systems involve inherent risks.
Truepro USA LLC does not represent, warrant, or guarantee that Mnemo Connect or information processed through it will be immune from hacking, cyberattack, unauthorized access, theft, leakage, loss, corruption, accidental disclosure, malware, interception, system failure, third-party compromise, or other security incidents.
To the maximum extent permitted by applicable law, Truepro USA LLC will not be liable for losses resulting from such events except to the extent applicable law does not permit such responsibility to be excluded or limited.
16. Backup Responsibility
Users should maintain independent copies of information that is critical to them.
Mnemo Connect does not guarantee that deleted, corrupted, inaccessible, or lost information can always be restored.
17. No Guaranteed Outcomes
Mnemo Connect does not guarantee introductions, relationships, business opportunities, employment, revenue, sales, investment outcomes, professional results, or other particular results.
18. Service Availability
Services may occasionally become unavailable because of maintenance, security incidents, Internet problems, infrastructure failures, third-party outages, or other circumstances.
Continuous or error-free availability is not guaranteed.
19. Limitation of Liability
To the maximum extent permitted by applicable law, Truepro USA LLC and its applicable affiliates, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of Mnemo Connect where such exclusions are enforceable.
Nothing in these Terms excludes liability or statutory rights that applicable law prohibits us from excluding.
20. Indemnification
To the extent permitted by law, users agree to indemnify and hold harmless Truepro USA LLC and its applicable affiliates, officers, employees, and agents from third-party claims resulting from unlawful use, violation of these Terms, infringement of another person's rights, or provision of information without required authority.
21. Suspension and Termination
Accounts may be suspended or terminated for material Terms violations, unlawful activity, fraud, abuse, security threats, nonpayment, unauthorized access, or conduct materially threatening Mnemo Connect or its users.
22. Governing Law
These Terms are governed by applicable laws of the State of Texas and the United States, except where mandatory law requires otherwise.
23. Venue
Subject to applicable mandatory rights, court proceedings shall be brought before an appropriate state or federal court having jurisdiction in Harris County, Texas.
24. Severability
If a provision is determined to be unenforceable, remaining provisions remain effective to the maximum extent permitted by law.
25. No Waiver
Failure to enforce a provision does not waive that provision or other rights.
26. Assignment
Truepro USA LLC may assign these Terms in connection with a merger, acquisition, restructuring, financing, sale, or transfer of the Mnemo Connect business, subject to applicable law.
27. Changes
Terms may be updated as Mnemo Connect evolves.
Material changes will be communicated where required.
